Foster and Marshall will look at trends in vendor contracts from the perspective of outside counsel and in-house counsel. We will discuss trending topics like business continuity, cyber liability / data security, subcontracting, changing regulatory environment, and emerging technologies. We will also review and discuss specific contract provisions.
About the Speakers
Lawrence 'Foster' Girard concentrates on corporate finance and commercial transactions at Haynsworth Sinkler Boyd.
Foster's practice is rooted in real estate matters, where he represents buyers, sellers and developers, and serves as lender's counsel. He handles a variety of real estate purchases and sales, and is well-versed in easement and land dispute matters.
He also advises on a number of financing documents and commercial contracts involving goods (including under Article Two of the Uniform Commercial Code), services and commercial real estate, and works to find practical legal solutions to achieve his client companies' business objectives. These solutions include general corporate matters, including choice of entity, entity formation and governance documents.
In the past, he assisted on private placement offerings and on bank acquisitions.

R. Marshall Tinsley Minton
Marshall Minton is an attorney at South State Bank. She graduated from Clemson University with a BS in Financial Management. She received her law degree from the University of South Carolina and a Masters in Taxation from the University of Florida. She spent three years at the South Carolina Department of Revenue as Counsel for Litigation. Prior to joining South State Bank, she was an associate at Turner Padget Graham & Laney on the Business Transactions team where her practice focused on tax and estate planning and business counseling. She is a resident of Columbia. She is married to Zach, has one dog named Tillie, and is expecting a baby girl in January.
